1. Acceptance of Terms

By creating an account or using CertiAlert ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you don't agree to these terms, please don't use our service. These terms apply to all users, including freight brokers, carriers, and any other parties using CertiAlert.

2. Description of Service

CertiAlert is a compliance tracking platform designed for freight brokers to manage carrier documentation and compliance requirements. Our service includes:

  • Carrier information management and tracking
  • Document storage and organization
  • Compliance status monitoring
  • Automated alert and notification systems
  • Reporting and analytics tools
  • Carrier onboarding and self-service portals

3. Account Registration and Security

Account Creation

You must provide accurate and complete information when creating your account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Eligibility

You must be at least 18 years old and legally able to enter into contracts to use CertiAlert. Our service is intended for business use by freight brokers and related transportation companies.

Security

You must notify us immediately of any unauthorized use of your account or any security breaches. We are not liable for losses resulting from unauthorized use of your account.

4. Acceptable Use

You agree to use CertiAlert only for lawful purposes and in accordance with these terms. You may not:

  • Upload or transmit malicious software, spam, or harmful content
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Use the service to violate any applicable laws or regulations
  • Interfere with or disrupt the service or servers
  • Reverse engineer, decompile, or attempt to extract source code
  • Share your account credentials with unauthorized parties
  • Use the service for any fraudulent or deceptive activities

5. Data and Content

You retain ownership of all data you submit to CertiAlert, including carrier information, documents, and other content. By using our service, you grant us a limited license to store, process, and display your data as necessary to provide the service.

Data Accuracy

You are responsible for the accuracy and completeness of the information you provide. CertiAlert is a tool to help manage compliance tracking, but you remain responsible for ensuring actual compliance with all applicable regulations.

Data Backup

While we maintain backups of user data, you are encouraged to regularly export and backup your important information. We provide data export functionality for this purpose.

6. Subscription and Payment

Subscription Plans

CertiAlert offers various subscription plans with different features and usage limits. Current pricing and plan details are available on our website and may be updated from time to time.

Payment Terms

Paid subscriptions are billed in advance on a monthly or annual basis. All payments are processed through secure third-party payment processors. You authorize us to charge your selected payment method for applicable fees.

Cancellation and Refunds

You may cancel your subscription at any time through your account settings or by contacting support. Cancellations take effect at the end of the current billing period. We do not provide refunds for partial months or unused portions of your subscription.

7. Service Availability

We strive to maintain high service availability but cannot guarantee uninterrupted access. We may temporarily suspend service for maintenance, updates, or due to circumstances beyond our control. We will provide reasonable notice for planned maintenance when possible.

8. Intellectual Property

CertiAlert and all related trademarks, logos, and proprietary content are owned by us or our licensors. You may not copy, modify, distribute, or create derivative works of our service or content without permission.

We respect intellectual property rights and expect users to do the same. If you believe your intellectual property rights have been violated, please contact us.

9. Disclaimers and Limitation of Liability

Service Disclaimer

CertiAlert is provided "as is" and "as available" without warranties of any kind. We disclaim all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Compliance Responsibility

Important: CertiAlert is a tool to help manage compliance tracking, but you remain solely responsible for ensuring actual compliance with all applicable laws and regulations. We do not provide legal advice or guarantee regulatory compliance.

Limitation of Liability

To the maximum extent permitted by law, our total liability for any claims related to CertiAlert shall not exceed the amount you paid for the service in the 12 months preceding the claim. We shall not be liable for indirect, incidental, special, consequential, or punitive damages.

10. Indemnification

You agree to indemnify and hold harmless CertiAlert and its affiliates from any claims, losses, or damages arising from your use of the service, violation of these terms, or infringement of any rights of another party.

11. Termination

Either party may terminate these terms at any time. We may suspend or terminate your access to CertiAlert for violation of these terms or other reasons at our discretion. Upon termination, you will lose access to the service and your data may be deleted according to our data retention policies.

12. Privacy

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these terms by reference.

13. Changes to Terms

We may modify these terms from time to time. We will notify you of material changes by email or through the service. Your continued use after such notification constitutes acceptance of the updated terms. If you don't agree to the changes, you should stop using the service.

14. Governing Law and Disputes

These terms are governed by the laws of the United States and the state in which CertiAlert is incorporated, without regard to conflict of law principles.

Any disputes arising from these terms or your use of CertiAlert shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except for claims involving intellectual property rights.

15. Severability

If any provision of these terms is found to be unenforceable, the remaining provisions will remain in full force and effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
